These Terms and Conditions ("Terms", "Agreement", "Terms of Service") constitute a legally binding agreement between CivicNest ("Company", "Service Provider", "we", "us", "our") and you ("User", "Subscriber", "you", "your") and govern the use and operation of the CivicNest platform, including all associated websites, mobile applications, and digital services (collectively, the "Platform"). By accessing, registering, or using the Platform in any manner whatsoever, including but not limited to viewing content, creating accounts, submitting data, initiating transactions, or accessing features through any device or method, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms in their entirety. If you do not agree with any provision, condition, or clause contained herein, you are expressly prohibited from accessing the Platform and must immediately cease all use and uninstall any related applications or software.

1. DEFINITIONS AND INTERPRETATION. For the purposes of these Terms, the following definitions shall apply unless the context clearly requires otherwise: "Account" means the individual user account created and maintained by you on the Platform with unique credentials; "Content" means all text, images, videos, documents, files, data, information, and materials on or transmitted through the Platform; "Services" means all features, functions, tools, utilities, and capabilities provided by CivicNest including but not limited to payment processing facilitation, community management, visitor management, complaint resolution, announcements, financial tracking, billing management, Kanban board operations, and visitor gate pass systems for residential societies and commercial organizations; "User" means any individual, entity, organization, or agent who accesses the Platform; "Transaction" means any payment request, payment submission, or financial operation initiated through the Platform; "Society" means any residential complex, gated community, condominium, apartment building, cooperative housing, or similar residential association registered on the Platform; "Administrator" or "Admin" means any user granted elevated privileges to manage society affairs, create payment requests, approve or reject transactions, or exercise administrative functions; "Sensitive Data" means personal identification information, financial data, transaction records, communication logs, and any other data classified as sensitive under applicable data protection regulations.

2. ACCEPTANCE OF TERMS AND ELIGIBILITY. By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater, and capable of entering into binding contracts; (b) you have the authority to bind yourself or the entity you represent to these Terms; (c) you are not prohibited by law from accessing or using the Platform or conducting transactions; (d) you will not use the Platform for any illegal, unlawful, fraudulent, deceptive, or unethical purpose; (e) you have provided accurate, current, and complete information during registration and will maintain the accuracy of such information at all times; (f) you are not listed on any government sanctions list, terrorist watch list, or restricted party list; and (g) you have not been previously banned, suspended, or terminated from the Platform for violation of these Terms. CivicNest reserves the right to verify your identity and eligibility at any time and may refuse service to any user who fails verification procedures or provides false or misleading information. Verification may include identity checks, address verification, and background screening as CivicNest determines appropriate.

3. PLATFORM USAGE AND CONDUCT. You agree to use the Platform solely for lawful purposes and in a manner that does not violate, infringe upon, or restrict the rights of other users or the Platform itself. Prohibited activities include but are not limited to: (i) accessing the Platform through unauthorized means, including but not limited to hacking, phishing, credential harvesting, or social engineering; (ii) attempting to bypass, circumvent, or disable security features, authentication protocols, or access controls including CAPTCHA, two-factor authentication, or IP whitelisting; (iii) reverse engineering, decompiling, disassembling, or attempting to derive source code or underlying algorithms; (iv) creating multiple accounts for fraudulent purposes, impersonation, or to evade restrictions or account limitations; (v) harvesting, scraping, or systematically collecting user data, contact information, or Platform content without authorization using automated tools or manual processes; (vi) transmitting viruses, malware, worms, trojans, ransomware, or any malicious code; (vii) flooding the Platform with requests, conducting denial-of-service attacks, distributed denial-of-service attacks, or disrupting service availability; (viii) engaging in harassment, bullying, threats, hate speech, or abusive behavior toward any user or third party; (ix) distributing unsolicited commercial messages, spam, or promotional content; (x) facilitating or engaging in any form of fraud, forgery, embezzlement, money laundering, or financial crime; (xi) violating intellectual property rights, including reproduction, distribution, or modification of copyrighted material without license; (xii) sharing another user's credentials or accessing accounts without authorization; (xiii) soliciting or distributing child exploitation material or engaging in any abuse of minors; (xiv) using the Platform to promote illegal services, controlled substances, weapons, or any other illegal products; (xv) deliberately providing false or misleading information in transactions, complaints, or reports; (xvi) interfering with other users' use and enjoyment of the Platform through trolling, brigading, or coordinated harassment; and (xvii) any other activity that CivicNest deems, in its sole discretion, inappropriate, harmful, or in violation of these Terms or applicable law.

4. ACCOUNT CREATION AND SECURITY. Upon registration, you must provide accurate, current, and complete information as requested, including but not limited to full legal name, email address, phone number, residential address, and other demographic information. You are solely responsible for maintaining the confidentiality and security of your account credentials, including username, password, authentication codes, biometric data, and any other access credentials. You agree not to share your credentials with any person, including family members, roommates, spouses, employees, or service providers, and not to disclose your password in any communication via email, phone, or in person. You are solely liable for all activities that occur under your account, whether authorized or unauthorized, intentional or unintentional, and whether caused by you, another person with access to your credentials, or through any breach of security on your end. You must immediately notify CivicNest of any unauthorized access, suspicious activity, security breach, or credential compromise by contacting our support team at the earliest opportunity. CivicNest will not be liable for any unauthorized access or misuse resulting from your failure to maintain security, disclosure of credentials, negligence, or failure to update default passwords. You agree to logout from the Platform when finished and not leave your device unattended while logged in, particularly in shared or public spaces such as internet cafes, libraries, public computers, or office environments.

5. PAYMENT PROCESSING AND TRANSACTION MECHANICS. CivicNest operates as a technological platform facilitator and does not directly process, authorize, collect, or hold payments on behalf of users or societies. CivicNest does not control, influence, or participate in the creation, approval, denial, modification, or execution of payment requests. Administrators of societies are solely responsible for creating payment requests based on community financial requirements, approval processes, governance structures, and fund allocation decisions determined by society bylaws and policies. CivicNest provides the infrastructure, technology, and tools through which payment requests are created, customized, categorized, scheduled, and presented to users, but CivicNest itself makes no determination regarding the legitimacy, appropriateness, necessity, validity, fairness, or compliance of any payment request. All payment processing is handled exclusively by third-party payment gateways, including but not limited to PhonePe, UPI providers, digital wallets, and other authorized financial service providers ("Payment Gateways"). These Payment Gateways are independent entities and are not agents, representatives, partners, or subsidiaries of CivicNest. CivicNest does not collect, transmit, store, process, or have access to payment card information, debit card details, credit card details, bank account numbers, routing numbers, IFSC codes, UPI credentials, digital wallet information, biometric payment data, or any other sensitive financial data. All such sensitive information is transmitted directly to and processed exclusively by Payment Gateways in accordance with their own privacy policies, security protocols, and compliance with Payment Card Industry Data Security Standard (PCI-DSS) and relevant financial regulations. CivicNest receives only non-sensitive transaction status confirmation (success, failure, or pending status) and transaction reference identifiers from Payment Gateways.

6. PAYMENT GATEWAY THIRD-PARTY TERMS. By making any payment through the Platform, you acknowledge and agree that you are entering into a separate transaction with the Payment Gateway, not with CivicNest. The Payment Gateway's terms of service, privacy policy, security disclosures, and dispute resolution procedures govern all transactions and are binding upon you. CivicNest disclaims all responsibility for Payment Gateway operations, performance, security practices, fees, charges, holds, disputes, chargebacks, failed transactions, authentication requirements, system outages, maintenance windows, transaction failures, processing delays, or any errors in payment processing. You must review the Payment Gateway's terms and conditions prior to initiating any transaction. CivicNest makes no representation regarding the security, reliability, compliance status, or financial soundness of any Payment Gateway. Your continued use of the Platform following any modification to Payment Gateways or their terms constitutes your acceptance of such changes.

7. REFUNDS AND DISPUTE RESOLUTION. CivicNest does not process, authorize, approve, or execute refunds of any kind. CivicNest has no authority to reverse, cancel, or modify any transaction processed through the Platform, and CivicNest maintains no access to payment processing systems. All decisions regarding refund eligibility, refund approval, refund amount determination, and refund execution rest solely with the society Administrator, the society's governing body, or the relevant Payment Gateway, in accordance with their established policies and procedures. If you believe a transaction was processed in error, was unauthorized, constitutes duplicate billing, or you wish to request a refund, you must contact the society Administrator directly and provide documentation supporting your claim. If the Administrator denies your request or the dispute cannot be resolved directly through society channels, you may contact the Payment Gateway's customer service team to pursue a formal dispute, reversal, or chargeback through their established procedures. CivicNest will cooperate with dispute resolution processes as required by Payment Gateways, financial regulators, or applicable law, but will not make any determination regarding the merit or validity of claims. Users explicitly waive the right to hold CivicNest liable for any transaction-related losses or seek recourse, damages, or compensation from CivicNest for payment disputes of any nature.

8. INTELLECTUAL PROPERTY RIGHTS. All content on the Platform, including but not limited to software code, design elements, logos, trademarks, service marks, text, images, graphics, icons, videos, audio files, user interface elements, navigation structure, databases, and documentation, is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. CivicNest and its licensors retain all right, title, and interest in and to all intellectual property. Your use of the Platform grants you only a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and view the content for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, rent, lease, sell, or otherwise use any content without express written permission from CivicNest or the rights holder. Unauthorized use of intellectual property is prohibited and may result in civil liability, injunctive relief, and criminal prosecution.

9. USER-GENERATED CONTENT. By submitting content to the Platform, including comments, complaints, suggestions, documents, visitor photos, payment descriptions, announcements, or any other materials ("User Content"), you grant CivicNest a worldwide, perpetual, non-exclusive, royalty-free, sublicensable, transferable license to use, modify, display, distribute, reproduce, and create derivative works from such content in connection with platform operation, improvement, marketing, and legal compliance. You represent and warrant that you own or control all rights to any User Content submitted and that such content does not violate any third-party rights, including privacy, intellectual property, or publicity rights. You agree to be solely liable for any claims arising from User Content you submit.

10. LIMITATION OF LIABILITY AND DISCLAIMERS. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. CIVICNEST EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY. CIVICNEST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, VIRUS-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. CIVICNEST MAKES NO REPRESENTATION REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR LEGALITY OF ANY CONTENT ON THE PLATFORM OR THE CONDUCT OF ANY USER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVICNEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, EVEN IF CIVICNEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CIVICNEST'S TOTAL LIABILITY FOR ANY CAUSE OF ACTION EXCEED THE AMOUNT PAID BY YOU TO CIVICNEST IN THE 12 MONTHS PRECEDING THE CLAIM, OR IF NO PAYMENT WAS MADE, ONE HUNDRED RUPEES OR THE MINIMUM AMOUNT REQUIRED BY LAW.

11. INDEPENDENT DECISIONS AND ADMINISTRATIVE AUTHORITY. CivicNest does not make, and expressly disclaims authority to make, any substantive decisions regarding: (i) approval, denial, modification, or cancellation of payment requests; (ii) eligibility for refunds or financial adjustments; (iii) membership status, access rights, or privileges within a society; (iv) enforcement of society rules, policies, or guidelines; (v) dispute resolution between members or between members and administrators; (vi) allocation or appropriation of community funds; (vii) administrative sanctions, disciplinary action, or penalties; (viii) visitor access or gate pass approval; or (ix) any other substantive matter relating to society governance or member relations. All such decisions remain solely within the authority and discretion of each society's Administrator, governing body, board of directors, or ownership structure, as applicable under the society's bylaws, governing documents, and applicable law. CivicNest is not party to any relationship between users or between users and their society and has no obligation, authority, or capacity to intervene in such relationships.

12. TERMINATION AND SUSPENSION. CivicNest reserves the right to terminate, suspend, or restrict your account and access to the Platform, in its sole discretion, without advance notice or liability, if you violate these Terms, engage in prohibited activity, fail verification procedures, provide false information, or for any other reason or no reason at all. Upon termination, your right to access the Platform immediately ceases. CivicNest shall not be liable to you or any third party for any termination or suspension, including any loss of data, transactions, communications, or access to services. Certain provisions of these Terms, including limitations of liability, intellectual property rights, indemnification, and dispute resolution, shall survive termination indefinitely.

13. INDEMNIFICATION. You agree to indemnify, defend, and hold harmless CivicNest, its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your violation of applicable law; (iv) your User Content; (v) your infringement of any third-party intellectual property rights; (vi) any action or inaction by you in connection with the Platform; or (vii) any transaction initiated by you. This indemnification obligation shall not apply to claims arising solely from CivicNest's gross negligence, willful misconduct, or violation of law.

14. MODIFICATIONS TO TERMS AND SERVICES. CivicNest reserves the right to modify these Terms at any time without advance notice. Modifications become effective immediately upon posting to the Platform. Your continued use of the Platform following any modification constitutes your acceptance of the modified Terms. CivicNest may also modify, suspend, discontinue, or remove any feature, function, or service of the Platform at any time in its sole discretion without notice or compensation to users.

15. GOVERNING LAW AND DISPUTE RESOLUTION. These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law principles. Any legal proceedings, arbitration, mediation, or dispute resolution shall be conducted under the jurisdiction of courts located in India, specifically in the state where CivicNest maintains its principal place of business. By accepting these Terms, you consent to the exclusive jurisdiction of Indian courts and waive any objections to venue or inconvenient forum. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

16. ADDITIONAL SERVICES OFFERED. CivicNest provides comprehensive digital services including but not limited to: (i) Payment Request Management - administrators can create, customize, categorize, schedule, and distribute payment requests with detailed descriptions, due dates, payment purpose clarification, reminder functionality, late fee configuration, and installment options; (ii) Visitor Management System - comprehensive scheduling, approval workflows, tracking of visitor entries with photographic documentation, identity verification, gate pass generation, and visitor history maintenance; (iii) Complaint and Grievance Management - submission, categorization, assignment, escalation, resolution tracking of member complaints with full ticketing system, status notifications, and closure reporting; (iv) Announcements and Notifications - broadcast of community announcements with multi-channel delivery through SMS, email, in-app push notifications, and targeted messaging to specific roles or groups; (v) Member Directory and Profile Management - maintenance of comprehensive member records with customizable visibility, privacy controls, contact information management, and role assignment; (vi) Financial Dashboard and Analytics - detailed payment tracking, overdue monitoring, collection statistics, financial reporting, trend analysis, and forecasting; (vii) Role-Based Access Control - differentiated user interfaces and feature access for residents, administrators, superadmins, and guest users; (viii) Multi-Organization Management - oversight and management of multiple societies with consolidated reporting, cross-organization analytics, and centralized control; (ix) Kanban Board Management - visual task and project management with drag-and-drop workflow customization, card assignments, deadline tracking, and status updates; (x) Billing and Invoice Management - automated billing cycle management with customizable templates, invoice generation, payment reminders, and billing history tracking.

17. PRIVACY AND DATA PROTECTION. Your use of the Platform is also governed by CivicNest's Privacy Policy, which is incorporated by reference into these Terms. You acknowledge that certain data may be processed, stored, transferred, and analyzed as described in the Privacy Policy. You grant CivicNest permission to process your data in accordance with the Privacy Policy, applicable data protection regulations, and statutory requirements.

18. ENTIRE AGREEMENT. These Terms, together with the Privacy Policy, Disclaimer, and any other documents referenced herein, constitute the entire agreement between you and CivicNest regarding the Platform and supersede all prior negotiations, representations, understandings, and agreements, whether written or oral. No representation, warranty, or agreement has been made except as explicitly set forth herein. If any portion of this agreement is deemed unenforceable, the remainder shall continue in full effect.

By using the CivicNest Platform, you acknowledge that you have read these Terms and Conditions in their entirety, understand all provisions, and unconditionally accept all terms and conditions set forth herein. This acknowledgment constitutes a binding and enforceable contract between you and CivicNest effective immediately upon your first access to or use of the Platform.
